To register an enterprises, the following
documentations are required according to type of business.
Joint venture and cooperation enterprises
- Report of feasibility study jointly made by the Chinese and
foreign parties
- Contract and constitution jointly signed by the Chinese and
foreign parties
- A copy of the business license of the Chinese and foreign
parties and credit certificates signed by each party’s local
bank
- A name list of the members of the Board of Directors of the
joint venture cooperation) company
- Letters of authorization of the legal representatives of the
Chinese and foreign parties
- Other document that need to report and submit
Solely foreign invested enterprises
- Report of feasibility studies
- Constitutions
- A name list of the legal representatives of enterprise and
members of the Board of Directors
- Legal certificate and credit certificate of the investor
- List of imported equipment
- Other documents necessary for submission
Limited liability company
- Application letter on establishing register signed by chairman
of the Board of Directors
- Certificates of the representative that was appointed by all
stockholders or commonly committed attorney
- Constitution of the company
- Certificate of capital inspection issued by capital testing
organ with legal qualification
- Certificate of stockholder
- Document showing names and addresses of members of Board of
Directors, supervisors and managers; and certificate on election
or employment.
- Document as holding position and status certificate of legal
representative of the company.
- Notice letter for previously examined and approved name of the
enterprise
- Certificate on company address
- Other documents to submit stipulated by National Industrial
& Commercial Administration Bureau
If laws and regulations stipulate that it must go through
examination and approval from related departments, relative approval
documents should be submitted.
Solely private invested enterprises
- Application letter on establishing solely private invested
enterprise signed by the investor
- Legal identification document of investor
- Certificate of enterprise’s address
- Other documents to submit stipulated by National Industrial
& Commercial Administration Bureau
If laws and regulations stipulate that it must go through
examination and approval from related departments, relative approval
documents should be submitted.
Partnership enterprises
- Registering application of establishment signed by all
partners
- Legal identification document of all partners
- Trusting letter of representative appointed by all partners or
deputy commonly committed by them
- Agreement of partnership
- Belonging certificate of contributive right
- Certificate of administrative place
- Other documents to submit stipulated by National Industrial
& Commercial Administration Department.
If laws and regulations stipulate that it must go through
examination and approval from related departments, relative approval
documents should be submitted.
Procedures for examination and approval:
- The
Foreign Investment Bureau of the development zone will examine
for approving the feasibility study report together with
relative departments
- The
Administration for Industry and Commerce check and confirm the
name of the registered enterprise
- The
Foreign Investment Bureau of the development zone approve and
return the contract and constitution, issuing approval
certificate on behalf of the municipal government.
- The
Administration for Industry and Commerce of the development zone
handles enterprise registering formalities and issues the
business license.
Time limitation for examination and approval
The above mentioned
examining and approving procedure will be handled and finished
within 7 working days, if the project unit has prepared all
formalities of application and report completely
